Noel Tata to Step Down as Voltas Chairman; Sunil D’Souza Named Successor

Voltas Announces Major Leadership Change

Voltas Limited, one of India’s leading air-conditioning and engineering companies, has announced a major change in its board leadership.

Noel N. Tata will retire as Chairman and Director of Voltas with effect from the close of business on November 11, 2026. He will be succeeded by Sunil Alaric D’Souza, who will assume the position of Chairman from November 12, 2026.

The decision was approved at a meeting of the company’s Board of Directors held on November 6.

Following his retirement, Noel Tata will take over as Chairman Emeritus of Voltas, recognising his association and contribution to the company’s development.

Why Is Noel Tata Stepping Down?

Noel Tata’s retirement is in accordance with the Tata Group Governance Guidelines, which prescribe retirement upon reaching the applicable age of superannuation for non-executive directors.

Born on November 12, 1956, Noel Tata will turn 70 on November 12, 2026.

He has been associated with Voltas since 2003 and has played an important role in guiding the company’s business strategy, strengthening its market position and supporting its long-term growth.

The company acknowledged his leadership and strategic guidance in its official announcement.

His transition to Chairman Emeritus will allow Voltas to recognise his contribution while moving forward with its planned leadership succession.

Who Is Sunil D’Souza, the New Voltas Chairman?

Sunil Alaric D’Souza is an experienced business executive with a professional background spanning consumer goods, home appliances and international business operations.

He currently serves as the Managing Director and Chief Executive Officer of Tata Consumer Products, a major Tata Group company with brands across tea, coffee, salt, packaged foods and beverages.

D’Souza joined Tata Consumer Products in April 2020 and has led its business during a period of expansion and portfolio development.

Before joining Tata Consumer Products, he served as Managing Director of Whirlpool India for nearly five years, overseeing operations in India and neighbouring markets.

He also spent approximately 15 years at PepsiCo, holding commercial and general management positions across India and several Asian markets, including the Philippines, Vietnam, Malaysia and Indonesia.

He began his professional career at Hindustan Unilever in 1993 after starting out as a service engineer at Siemens.

D’Souza holds a degree in Electronics and Communications Engineering from the University of Madras and a postgraduate management diploma from the Indian Institute of Management Calcutta.

He will continue as Managing Director and CEO of Tata Consumer Products while taking on the additional responsibility of leading Voltas as its Chairman.

Separate Succession Plan for Voltas Managing Director

Alongside the chairman transition, Voltas has also approved a separate succession plan for its managing director position.

The tenure of current Managing Director Mukundan Menon C.P. will end on May 24, 2027. He will retire from the company’s services in accordance with the Tata Group’s retirement policy for executive directors.

The board has approved the appointment of Jayant Balan as an Additional Director and Managing Director for a five-year term beginning May 25, 2027, subject to shareholder approval.

Balan currently heads Voltas’ Room Air Conditioner business and has been associated with the company since 2001.

During his career at Voltas, he has held leadership responsibilities across manufacturing, supply chain, strategy, international operations and consumer durables.

Until his formal appointment takes effect, he will serve as Managing Director-designate.

Venkatesalu Palaniswamy Also Joins the Voltas Board

The board has also approved the appointment of Venkatesalu Palaniswamy as an Additional Non-Independent Non-Executive Director of Voltas, effective November 12, 2026.

Palaniswamy is the Managing Director of Trent Limited, another major Tata Group company known for its retail businesses.

His appointment adds another senior Tata Group executive to Voltas’ board as the company prepares for its next phase of leadership.

What the Leadership Transition Means for Voltas

The changes represent a planned transition at both the board and executive management levels of Voltas.

With Sunil D’Souza becoming chairman and Jayant Balan preparing to take over as managing director in May 2027, the company is setting out a succession structure for its future leadership.

Voltas operates across room air conditioners, commercial air conditioning, engineering projects, refrigeration and other business segments. Its performance is influenced by consumer demand, seasonal conditions, infrastructure development and competition in India’s cooling market.

The leadership transition comes at a time when India’s air-conditioning and cooling industry continues to evolve, with opportunities linked to rising temperatures, urbanisation and demand for energy-efficient products.

The coming months will be important as Voltas implements its board changes and prepares for the next executive leadership transition.
